Dispute Resolution & Governing Law

12.1 Governing Law
These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any principles of conflicts of law.

12.2 Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in New York, NY, before a single arbitrator. The arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

The arbitrator shall have the authority to grant any remedy or relief that would be available in court under law or in equity. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Exceptions to Arbitration
Notwithstanding the above, either party may bring an action in small claims court if the claim qualifies for small claims court in the applicable jurisdiction. Additionally, either party may seek equitable relief in court for infringement or other misuse of intellectual property rights.

12.4 Venue
For any disputes not subject to arbitration, you agree that any legal action or proceeding shall be brought exclusively in the federal or state courts located in New York, and you consent to the personal jurisdiction of such courts.

12.5 Class Action Waiver
Any arbitration or court proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Termination

We reserve the right to terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired.

Waiver

No waiver by Cortico-X of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Cortico-X to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms constitute the entire agreement between you and Cortico-X regarding your use of the Site and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter.
